TREASURY SHARES - TRANSFERS                                                     
In accordance with Listing Rule 12.6.4, Anglo American plc announces that       
6,109 ordinary shares were transferred from treasury shares on 22 May 2012      
in respect of the grant and vesting of awards under the Company's share         
plans.                                                                          
A total of 27,353,821 new ordinary shares were allotted on 17 May 2012 in       
respect of the early redemption of the 4% Convertible Bonds due 2014            
(pursuant to the notice to bondholders announced via RNS on 23 March 2012       
and the Block Listing announced via RNS on 16 April 2012).                      
Following these transactions, Anglo American plc has a total of 15,385,532      
ordinary shares held in treasury and a total of 1,390,069,401 ordinary          
shares in issue, excluding treasury shares.
